All purchases of goods or services from or through Rectivity, Inc. doing business as BarsAndStoolsUSA.com ("BarsAndStoolsUSA.com"), whether via the BarsAndStoolsUSA.com Web site, by phone, or otherwise, are governed by these Terms of Sale. "You" and "your" refer to the user of the Site; "we," "us" and "our" refer to BarsAndStoolsUSA.com.

1.    Restocking Fee

All cancelled orders and order exchanges are subject to a 15% restocking fee. Return shipping on cancelled orders is the responsibility of the customer. The actual cost of the original shipping will not be refunded. Orders held and then cancelled are subject to monthly storage fees.

2.    MANUFACTURER'S WARRANTY; DISCLAIMER OF WARRANTIES; LIMITATION OF LIABILITY; DISCLAIMER OF CONSEQUENTIAL DAMAGES

All items purchased from BarsAndStoolsUSA.com are covered by the manufacturer's warranty described at this link. The remedies set forth there are your sole and exclusive remedies for any breach of the manufacturer's warranty.

IN NO EVENT WILL THE LIABILITY OF BarsAndStoolsUSA.com ARISING IN CONNECTION WITH OR UNDER THESE TERMS OF SALE EXCEED THE PURCHASE PRICE OF THE GOODS OR THE FEES FOR ANY SERVICES PROVIDED BY BarsAndStoolsUSA.com TO WHICH ANY CLAIM OF LIABILITY IS RELATED.

IN NO EVENT SHALL BarsAndStoolsUSA.com BE LIABLE FOR INCIDENTAL, INDIRECT, SPECIAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OF SALE OR THE SALE OF GOODS OR THE PERFORMANCE OF SERVICES INCLUDING, WITHOUT LIMITATION, BREACH OF ANY WARRANTY OR ANY OTHER OBLIGATION IMPOSED ON BarsAndStoolsUSA.com UNDER OR IN CONNECTION WITH THIS AGREEMENT, and including, without limitation, loss of use, loss of customers, income or profit, and damages or losses resulting from claims of other persons against you.

3.    Dispute Resolution

We will do our best to resolve any problems or issues that you may have with us or our goods or services in a satisfactory manner. If, however, we are unable to reach a mutually satisfactory resolution, any claim or controversy between us, or arising in any way out of the purchase of goods or services by or through BarsAndStoolsUSA.com, shall be resolved by binding arbitration before a single arbitrator of the American Arbitration Association (AAA) in Los Angeles, California, under the rules and procedures of the AAA. Any such dispute or controversy shall be arbitrated on an individual basis, and shall not be consolidated in any arbitration with any claim or controversy of any other party. The arbitrator shall have authority to resolve all matters in dispute between us (subject to the legal disclaimer and liability limitations set forth above), including the applicability, scope and binding effect of this arbitration agreement, and to award arbitration costs and expenses to the prevailing party as determined by the arbitrator. Notwithstanding the foregoing, either party may pursue preliminary or injunctive remedies in an appropriate state or federal court sitting in Los Angeles, California pending the decision of the arbitrator, without waiving the right or affecting the obligation to arbitrate hereunder.

4.    Other Terms

These Terms of Sale are governed by the laws of the State of California, without giving effect to any choice of law rules. The exclusive jurisdiction and venue af any action related to these Terms of Sale will be the state and federal courts in Los Angeles County, California, and you submit to the personal jurisdiction of such courts and waive any objection to venue there based upon inconvenient forum or otherwise. These Terms of Sale, together with the Terms of Service, the Lifetime Warranty, the Privacy Policy, and any written agreement between you and BarsAndStoolsUSA.com concerning your participation as a Member or in any program or service offered by BarsAndStoolsUSA.com, constitute the entire agreement and understanding between us regarding the subject matter hereof, and may only be modified as provided above. If any provision of these Terms of Service shall be unlawful, void or unenforceable for any reason, the other provisions (and any partially unenforceable provision) shall not be affected thereby and shall remain valid and enforceable to the maximum permissible extent. You agree that these Terms of Sale and any other agreements referenced herein may be assigned by BarsAndStoolsUSA.com, in its sole discretion, to a third party in the event of a merger or acquisition.
